Definitions

"We", "us" and "Optivex Labs" mean Optivex Labs, of 20963 80B Avenue, Langley Twp, BC V2Y 0R2. "You" means the person browsing the site or placing an order. "Products" means the research materials we offer for sale. "Site" means optivexlabs.ca.

Eligibility

To purchase from us you must be at least the age of majority in your province or territory of residence, be legally able to enter a binding contract, and be acquiring the products for lawful research purposes. We may refuse or cancel any order, at our discretion, including where we have reason to believe these conditions are not met.

Research use only

All products are sold exclusively for laboratory research conducted by qualified individuals and institutions. By placing an order you represent and warrant that:

• You are acquiring the products solely for in-vitro research or other lawful research applications;
• You will not administer them to yourself, to any other human being, or to any animal;
• You will not resell, repackage or supply them for human or veterinary consumption;
• You are qualified and equipped to handle, store, use and dispose of research materials safely, and will do so in accordance with all applicable laws, institutional policies and good laboratory practice;
• You accept full responsibility for the safe handling and lawful use of anything you purchase from us, once it is delivered.

Nothing on this site is medical advice. We do not provide, and will not provide, guidance on dosing, administration or human application, and any such request will be declined.

Compliance is yours

Laws governing the import, possession and use of research compounds vary by jurisdiction. It is your responsibility, not ours, to confirm that a product may lawfully be delivered to and held at your address. We are not liable for any order seized, delayed or refused by customs or any other authority, or for any consequence of your use of a product.

Product information and certificates of analysis

We publish a certificate of analysis for our batches on our COA page. Purity figures reflect third-party analysis of the tested batch at the time of testing.

We work to keep product descriptions, images and specifications accurate, but we do not warrant that they are error-free or complete. Vial appearance and fill volume may vary slightly between batches. Where a description contains a material error, we may correct it, and may cancel and refund any affected order.

Orders, pricing and payment

Prices are in Canadian dollars and exclude applicable taxes, which are calculated at checkout. Your order is an offer to buy; a contract forms only when we send a shipping confirmation.

We may refuse or limit any order, including where a product is mispriced, out of stock, or where an order appears fraudulent, is for apparent resale, or is placed in unusual quantities. If we cancel an order after payment, we refund it in full.

Shipping and returns

Our Shipping Policy and Returns & Refund Policy form part of these terms. Risk of loss passes to you on delivery to the address you provided.

Accounts and acceptable use

You are responsible for the security of your account credentials and for activity under your account. You agree not to use the site to break any law, to interfere with its operation or security, to scrape or harvest data, to submit false information, or to post content in reviews that is false, defamatory, or that describes human or veterinary use of our products.

We may remove content or suspend accounts that breach these terms.

Intellectual property

The site's content — text, images, layout, branding and code — belongs to Optivex Labs or its licensors and is protected by copyright and trade-mark law. You may view and print it for your own reference. You may not copy, republish or use it commercially without our written permission.

If you submit a review, photo or other content, you grant us a non-exclusive, royalty-free licence to display and use it in connection with the store.

Disclaimer of warranties

Except for the purity and identity representations set out on the applicable certificate of analysis, the products and the site are provided "as is" and "as available", without warranty of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by law.

We make no representation whatsoever as to the results of any research, experiment or application involving our products.

Limitation of liability

To the fullest extent permitted by law, Optivex Labs and its officers, employees and suppliers are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data or business, arising from your use of the site or any product — including any injury, loss or damage resulting from use of a product in a manner these terms prohibit.

Where liability cannot be excluded, our total aggregate liability arising out of or relating to any order is limited to the amount you paid for that order.

Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you.

Indemnity

You agree to indemnify and hold harmless Optivex Labs and its officers, employees and suppliers against any claim, loss, liability, cost or expense (including reasonable legal fees) arising from your breach of these terms, your misuse of a product, or your violation of any law or third-party right.

Governing law

These terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there. The courts of British Columbia have exclusive jurisdiction over any dispute, and you consent to that jurisdiction.

General

If any provision of these terms is found unenforceable, it is severed and the remainder continues in force. Our failure to enforce a provision is not a waiver of it. These terms, together with the policies referenced in them, are the entire agreement between us regarding the site and your orders.

We may update these terms at any time by posting a revised version here. Changes apply to orders placed after they are posted. Continued use of the site means you accept the current version.
